The second one has a newer generation cooling system though I guess the differences might be rather minor, slightly cooler, slightly quieter or so.
They claim better components and such (Though the first one has that too.) plus that extra about voltage modifications but that's mostly if you're more serious about overclocking or that's my opinion at least, both should probably clock quite well though if you have the money for it I'd recommend going for the newer one, you usually get what you pay for or how to say it.
MSI has them on their website too if you want to do more thorough comparisons.

(Either one should be good of course.)
EDIT: Ah right, RAM, well I guess it then depends on what your current system has and the specifications on those.
(4GB is a pretty good base, you cover all 32-bit programs with 2GB and have 2GB for the OS and such still which is pretty balanced.)

Yeah dual channel RAM would be useful via two sticks, eight GB of RAM in total isn't bad either and it's not too expensive at the moment which is another good thing.
EDIT: Oh right it's pretty well known but I would advise against mixing different RAM sticks, timings and speed, voltage and that but you probably know this already.

its a good card, installed Sapphire version in 2 PCs, good deal faster than my 6950 and has 2GB ram
