Wow this game is buggy as hell, and the new controls makes no sense at all, not yet anyways. I've picked out so many problems in just 1.5 hour with this game. I really hope it gets better later on.

Getting crap FPS too, but only if the display is showing distance. Looking at the floor is fine - looking into the distance is an instant FPS drop.

Well with this game (in it's current state), i can safely blame your fps drops on your CPU.
If mine is already bottlenecking like crazy and the strange usage, then yours should be even crazier

Damn after the first time playing AC3, they still asking for a serial @Uplay.. Any solutions???

This is going to sound a bit repetitive but you need to re-apply the UPlay modified exe as the originally one has been re-added, some additional security check.
(From the earlier posts it seems there is a fix for this but I haven't checked on that myself so I don't know anything.)

maybe setting fixed uplay.exe to writeprotected should be enough... havent tried it yet, dont feel comfortable with logged in in uplay (yes even if its a fakeaccount) to play this...

Same here on a 6950, crap fps 95% CPU and almost no GPU at all.
Bear in mind my entire system exceeds the min requirements:
Core 2 Duo E8300 2.83GHz or Phenom II X2 555 Black Edition
GeForce GT 545 DDR3 or Radeon HD 5670 512MB
3 GB RAM
Win Vista 64
DX 10
Sleeping Dogs runs pretty much ok on my own system, so this must be just crap optimizing.
